Abstract: This case study considers the proposed merger of Hewlett-Packard and Compaq Computer from the original announcement to the decisive HP’s shareholder meeting (September 3st, 2001 to April 3st, 2002). The merger and the related process were under fierce debate. Two opposite sides formed. HP’s and Compaq’s top management lead by HP’s CEO Carly Fiorina and Compaq’s CEO Michael Capellas pushed the merger forward. On the other side, the descendants of Hewlett and Packard led by Walter Hewlett and the major part of Wall Street were strongly against it.
